If you purchase a subscription to a Zendesk-managed service from an independent third party authorized to sell such subscriptions under a separate agreement with Zendesk, the terms of this master subscription contract are null and void, and the terms governing your access and use of the Service are available here. third. You agree that zendesk Group and third parties used by Zendesk Group to provide you with the Services give you the right to access your account and to use, modify, reproduce, distribute, display and disclose your agents` personal data, to the extent necessary to provide, safeguard or improve the Services. All third-party service providers used by the Zendesk Group will only have access to your account if reasonably necessary for the provision of services and (a) will be subject to confidentiality obligations that are economically reasonable and essentially comply with the standards described in Section 5; and (b) the agreement of a third-party provider to comply with the data transfer restrictions for personal data provided for in Section 7 as part of the service data. 3.1 Duration. If your account and service subscription are not terminated under the terms of this Agreement or are not otherwise specified in an order form (a) your subscription to a service (including all connected services provided) is extended for a subscription duration for the duration of the expiring subscription and (b) the subscription fee applicable for a later subscription period are our standard rates for the service plan and related services provided at the time this subscription period begins. Each party protects the other party`s confidential information from unauthorized use, unauthorized access or disclosure in the same way that each party protects its own confidential information, but with due diligence. unless expressly authorized by this agreement, each party may use the other party`s confidential information exclusively for the exercise of its respective rights and fulfill its obligations under this agreement, and (a) disclose this confidential information (a) exclusively to staff members and/or non-employee service providers and service providers who must be aware of this confidential information and which are bound by confidentiality rules designed to prevent the misuse of such confidential information; (b) if necessary, to comply with an order or summons of an administrative authority or competent court; or (c) as is reasonably necessary to comply with applicable legislation or regulations.
